Agent Terms and Conditions

Welcome to Aussie for Agents, an online property ecosystem of products and services that are offered to real estate agents by Aussie. Aussie for Agents is available to any Licensed Real Estate Agent or Agency that signs up and registers through the website or app or who has logged in following an invitation email from Aussie (any such user being a Participant).

These Terms of Use are intended to explain our obligations as a service provider and your obligations as a Participant. Please read them carefully.

Unless provided otherwise herein or any other written agreement between you and Aussie, these Terms of Use are binding on any use of the services provided to you by Aussie (Agent Services) and apply to you from the time that you, log in, sign up for or otherwise use any of the Agent Services. Whilst some Agent Services may have additional terms that apply in addition to these Terms of Use, these Terms of Use apply to all functionality within the Agent Hub and all Agent Services. Depending on what you have signed up for, some terms may not be applicable to you. For example, if you have received a Seller Assist lead but are not signed up to Aussie for Agents, details regarding Aussie Property Search will not be applicable to you as that functionality isn’t available unless you sign up to Aussie for Agents.

1. Background

A.      This website and the Agent Services are owned and operated by Aussie Homes Platform Pty Ltd ACN 679 205 639 and its related bodies corporate (Aussie, we, our).

B.      Aussie For Agents is part of the portfolio of brands owned and operated by Lendi Group Pty Ltd and its related bodies corporate. Our brands include Aussie, Aussie Homes, Aussie for Agents and Lendi.

C.      By using this website and the Agent Services, and in consideration of Aussie providing you with access to this website, you agree to the following terms of use (which include our Privacy Policy, https://www.aussie.com.au/about-us/privacy/  (Terms of Use) which govern your access to and use of this website and the Agent Services.

D.      If you do not agree to these Terms of Use, you must not use or access this website.

E.      The Participant wishes to use the Agent Services that are made available to it, either through the Seller Assist service, or as part of signing up to Aussie for Agents to access the full suite of Agent Services, including the right to list on the Aussie Property Search and have access to the Agent Hub.

F.      We reserve the right to amend these Terms of Use from time to time without giving specific notice, except in the event of any fees or charges whereby the Participant will be given notice in accordance with clause 9.1. We will publish the amended Terms of Use on the website.

G.      You should periodically review the Terms of Use and if you do not agree with any of the changes, you must cease using or accessing the website. By continuing to use the website and the Agent Services, you will be deemed to have accepted the changes to the Terms of Use.

2. Definitions and interpretation clauses

2.1 Definitions

In this Agreement:

Agent Hub means the platform the Participant has access to which provide the ability to, amongst other things:

  1. utilise the services under Agent Services;
  2. post listings on the Aussie Property Search; and
  3. view and track data and analytics in relation to their Listings.

API means a third-party application programming interface.

Approved Property means a Property for which the Participant has due authority to advertise for sale or for rent pursuant to a valid sales or rental contract between the Participant and the vendor and/or the Participant otherwise being duly authorised by the vendor to sell or lease the relevant Property.

Aussie means Aussie, Aussie Homes, Aussie for Agents, Lendi and Listing Loop and any other associated platforms.

Aussie Property Search means the online marketplace owned and operated by Aussie which hosts listings for Properties which are publicly viewable but only capable of enquiry or other interaction by Registered Users.

Default Event means any of the events listed in clause 8.1.

Eligible Financial Product means a residential or commercial property loan which is brokered by a Broker operating under the Aussie Home Loans or Lendi brands.

Entity Type means either a Company, Trust, Partnership or Individual.

Fees means the charges the Participant will be charged based on any opt-in services within the Agent Hub.

GST Act means A New Tax System (Goods and Services Tax) Act 1999 (Cth).

Term means the period where the Participant or Participant Employee has access to or is utilising the Agent Services.

Insolvency Event means, in respect of a party:

  1. if the party is an individual (including a sole trader):
    1. the party is declared bankrupt, a sequestration order is made and/or a person enters into a personal insolvency agreement, within the meaning of the Bankruptcy Act 1966 (Cth);
    2. the party is served with a bankruptcy notice, which is not satisfied within the time prescribed for in the Bankruptcy Act 1966 (Cth);
    3. the party enters into, or resolves to enter into, a composition with, or assignment for the benefit of, all or any class of his or her creditors; or
    4. a receiver or receiver and manager is appointed to the whole, or part of, the property of the part;
  2. if the party is a corporate entity:
    1. it is unable to pay its debts as and when they fall due;
    2. it fails to comply with a statutory demand under section 459F of the Corporations Act 2001 (Cth) or is deemed unable to pay its debts under section 585 of the Corporations Act 2001 (Cth);
    3. a meeting is convened to consider placing it in voluntary liquidation or appointing an administrator;
    4. an application is made for it to be wound up;
    5. a controller, receiver, receiver and manager, administrator or liquidator (each as defined in section 9 of the Corporations Act 2001 (Cth)), is appointed over any of its assets or undertaking;
    6. it enters or proposes to enter into, any form of arrangement with its creditors; or
    7. anything analogous to or having a substantially similar effect to any of the events specified above occurs; and
  3. if the party is a trust, when a resolution is passed or an order made or other action taken for the winding up of the relevant trust,

or anything analogous or having a substantially similar effect to any of the events specified above happens under the law of any applicable jurisdiction.

Intellectual Property Rights means, for the duration of the rights in any part of the world, any industrial or intellectual property rights, whether registrable or not, including in respect of copyright, patents, inventions, trade secrets, confidential information, know-how, product formulations, designs, formats, circuit layouts, databases, plant varieties, trademarks, brand names, business names, domain names, applications for any of the foregoing and any improvements, enhancements or modifications to any of the foregoing.

Lead means either an enquiry, or property view by an end user on a Participant’s Listing on the Aussie Property Search which gives rise to an opportunity for that Participant to engage with a Registered User.

Listing means a listing of a Property for sale or for rent on the Aussie Property Search, including without limitation information, statements, text, images, video or other data relating to the sale of that Property (whether submitted by the Participant to Aussie directly or by an API or XML Feed).

Participant means a Licenced Real Estate Agent, Real Estate Agency which has signed up to Aussie for Agents.

Participant Employee as the meaning given to the term in clause 3.2(g)(i).

Privacy Policymeans the Aussie privacy policy available at https://www.aussie.com.au/about-us/privacy/ as amended from time to time by Aussie.

Property means a real estate property located in Australia.

Registered User means an end user customer who has registered with Aussie including through the Aussie Property Search to, amongst other things, enquire or otherwise engage with a Listing.

Required Fields means the following information:

  1. street address;
  2. property type;
  3. number of bathrooms (except for vacant land);
  4. number of bedrooms (except for vacant land); and
  5. number of car spaces (except for vacant land),

and any other information reasonably requested by Aussie from time to time.

2.2 Interpretation

In this Agreement, unless the context otherwise requires:

  1. a reference to:
    1. the singular includes the plural and vice versa;
    2. a gender includes all genders;
    3. a clause, paragraph or schedule is a reference to a clause, paragraph or schedule of these Terms of Use;
    4. a person includes that person‘s executors, administrators, successors and/or permitted assigns;
    5. a law:
      1. includes a reference to any constitutional provision, subordinate legislation, treaty, decree, convention, statute, regulation, rule, ordinance, proclamation, by-law, judgment, rule of common law or equity or rule of any applicable stock exchange;
      2. is a reference to that law as amended, consolidated, supplemented or replaced; and
      3. is a reference to any regulation, rule, ordinance, proclamation, by-law or judgment made under that law;
    6. time is a reference to Sydney, New South Wales, Australian time;
  2. an obligation or liability assumed by, or a right conferred on, two or more parties binds or benefits all of them jointly and each of them severally;
  3. headings are for convenience only and are ignored in interpreting these Terms of Use;
  4. a reference to a party includes that party’s successors and permitted assignees;
  5. the word ‘including‘ or ‘includes‘ means ‘including but not limited to‘ or ‘including without limitation‘; and
  6. where a word or phrase is defined, its other grammatical forms have a corresponding meaning.

3. Aussie for Agents

3.1 Aussie Property Search and Agent Services

For each Participant that has signed up to Aussie for Agents, Aussie grants the right to:

  1. submit Listings to the Aussie Property Search;
  2. access all services offered under Agent Services;
  3. access the Agent Hub;
  4. invite prospective purchasers and renters to use the Aussie Property Search and become Registered Users;
  5. where there is a Lead, engage with the relevant Registered User; and
  6. publish information about a Listing submitted by the Participant to the Aussie Property Search on social media platforms nominated by Aussie from time to time,

during the Term, subject to:

    g.these Terms of Use; and

    h.the Participant complying with its obligations in these Terms of Use.

3.2 General Obligations

In using the Aussie Property Search, Agent Hub and any other offerings provided as part of Agent Services from time to time, the Participant:

  1. must comply with the reasonable directions of Aussie, including without limitation to remove or amend any Listing;
  2. must not engage in any inappropriate or illegal conduct, or any conduct which would place Aussie at risk of prosecution under the Competition and Consumer Act 2010 (Cth) or expose Aussie to claims on the grounds of misrepresentation, duress, unconscionable conduct or misleading and deceptive conduct, whether under statute or at common law;
  3. must comply with all statutory requirements relevant to its activities under this Agreement in Australia (including the requirements under the Competition and Consumer Act 2010 (Cth)) and in any country other than Australia where the Participant undertakes activities under or in relation to these Terms of Use;
  4. must comply with the Privacy Policy and the Website Terms, as amended from time to time;
  5. must ensure that if the Participant provides any personal information of an individual to Aussie, that individual has been informed that their personal information will be used, stored and disclosed by Aussie in accordance with the Privacy Policy;
  6. must undertake to only collect, store, disclose and use personal information obtained through the Aussie Property Search or Agent Hub for the sole purpose of contacting the enquiring person in relation to the Listing they have enquired about or acting in accordance with clause 3.1(d); and
  7. must ensure that any Lead or personal information relating to a consumer who may be seeking finance is only used or shared in accordance with applicable laws, and only after the consumer has provided informed consent. If a Lead is referred to an Aussie broker for credit assistance, the Participant confirms that relevant consent has been obtained, that the individual understands how their information will be used and that they will comply with any requests from Aussie in relation the referral of a customer as may be required under the National Consumer Credit Protection Act 2009 (Cth).
  8. where the Entity Type of the Participant is not an individual, may invite and/or expressly authorise a third-party individual to use the Aussie Property Search or Agent Hub, including submitting a Listing on the Aussie Property Search on the Participant’s behalf or utilising the Agent Hub, provided that the following conditions are satisfied:
    1. the third-party individual is an employee of that entity, such as a property manager or sales consultant (Participant Employee); and
    2. the Participant must procure that the third party individual complies with the terms of these Terms of Use, and which for the avoidance of doubt, includes (but is not limited to) clauses 3.2(a) to 3.2(f), and 3.3.
  9. notify Aussie within 24 hours if the Participant has changed CRM.

3.3 Listing Obligations

In submitting Listings on the Aussie Property Search, the Participant must:

  1. include the Required Fields for each Listing;
  2. only submit Listings in respect of Approved Properties which are available for sale or for rent at the time of submission;
  3. only list each Property for sale or for rent once on the Aussie Property Search;
  4. immediately remove any Properties which are no longer for sale or for lease;
  5. ensure that any Listing submitted to the Aussie Property Search on behalf of the Participant:
    1. is only submitted by its expressly and duly authorised representatives (such as a Participant Employee);
    2. is accurate and current;
    3. accurately indicates the location of the Property;
    4. complies with any guidelines or requirements of Aussie from time to time; and
    5. complies with all relevant laws and regulations, including without limitation those relating to misleading and deceptive conduct, defamation, intellectual property, privacy and the sale of real estate;
  6. where photographs or illustrations are included in a Listing, ensure that the photographs or illustrations accurately represent the relevant property and are free from borders and contact details of the Participant;
  7. not submit any Listing, or permit any Listings to be submitted on its behalf, until the Participant, and/or its authorised representative, has agreed to the Website Terms electronically using the platform nominated by Aussie from time to time; and
  8. ensure that any content submitted for publication, including descriptions, claims or promotional wording, complies with all applicable advertising standards and laws, and does not mislead consumers about the property, its features, or related services.

3.4 Participant Warranties

The Participant represents and warrants to Aussie that, at all times during the Term:

  1. the Participant, and where applicable, any Participant Employee who submits a Listing on the Aussie Property Search on behalf of the Participant:
    1. holds all licences and accreditations required for the submission of that Listing, including without limitation a licence to sell real estate in the relevant State or Territory;
    2. has the authority to sell or lease the Property which is the subject of the Listing; and
    3. has complied with the regulations of the relevant State or Territory in submitting the Listing, including having obtained the authorities required by the relevant State or Territory;
  2. it will comply with its obligations under clauses 3.2 (General Obligations) and 3.3 (Listing Obligations); and
  3. it owns or has been granted a licence for any content (including the Intellectual Property Rights) to fulfil the Participant’s obligations under clause 3.6(a).

3.5 Participant Acknowledgments

The Participant acknowledges and agrees that, at all times during the Term:

  1. Aussie may, at its discretion, remove or amend any Listing if Aussie determines or has reason to suspect that the Participant is in breach of these Terms of Use;
  2. it is solely responsible for the content of all Listings that are posted to the Aussie Property Search by the Participant or its Participant Employees;
  3. if applicable, if it invites or authorises a Participant Employee to use the Aussie Property Search or Agent Hub (including to submit a listing on the Aussie Property Search) on its behalf:
    1. any conduct or omission by that Participant Employee in accessing and using the Aussie Property Search or Agent Hub is deemed conduct or omission by the Participant; and
    2. the Participant is liable to Aussie for any conduct or omission of that Participant Employee in accessing and using the Aussie Property Search or Agent Hub;
  4. Aussie cannot guarantee that the Agent Services, Aussie Property Search or Agent Hub will be available or operate continuously or without faults and Aussie will not be liable for any loss arising as a result of disruption or downtime except as required by law;
  5. Aussie may contact the Participant and its Participant Employees (if applicable) using any contact details provided to Aussie from time to time;
  6. Aussie reserves the right to amend these Terms of Use in accordance with clause 10.1; and
  7. Aussie reserves the right to change, vary or amend the services and offerings available through Aussie for Agents from time to time without notice to Participants.

3.6 Intellectual Property

  1. In consideration for Aussie granting the Participant the rights under clause 3.1, the Participant grants Aussie an irrevocable, world-wide, perpetual and royalty-free licence to publish, copy, licence, use and adapt for any purpose any content in the Participant's Listings (including any Intellectual Property Rights) for the following purposes:
    1. for use in property listings on the Aussie Property Search;
    2. for display on Aussie's and Aussie's partners' platforms; and
    3. for use in Lendi Group's marketing collateral.
  2. The licence granted in clause 3.6(a) does not merge on the expiry or earlier termination of these Terms of Use.

3.7 Release

The Participant releases Aussie in respect of any cost, claim, loss, damage, expense or other liability which the Participant may suffer as a result of any failure of the Aussie Property Search or the Agent Hub to operate continuously, malfunction or to provide accurate information.

4. Confidentiality Obligations

As part of your access to Agent Services, you may gain access to non-public business information, including, but not limited to:

  1. Seller contact details and property preferences;
  2. Platform-matched lead information; and
  3. Internal tools, templates or analytics.

This information is strictly confidential and to be used only for the purposes for which it is provided to you.

You must not:

  1. Share access with unauthorised third parties;
  2. Use any data outside the platform's intended purpose; or
  3. Copy, export, or store seller data externally without consent.

5. Appropriate Use

The Agent Services and Agent Hub are provided for the sole purpose of assisting you to:

  1. track and manage your property listings on the Aussie Property Search;
  2. access data analytics in respect of your listings on the Aussie Property Search;
  3. track and manage platform-generated seller leads and related activity; and
  4. access other tools and services which may be made available to you on an opt-in basis from time-to-time.

In accessing the Agent Hub or utilising any of the Agent Services, you agree:

  1. to use any services, platforms or tools in accordance with relevant laws and professional standards;
  2. to refrain from any misleading or deceptive conduct;
  3. to ensure any contact with sellers or buyers who you are introduced to or otherwise engage with through or in connection with Aussie is respectful, and authorised or solicited; and
  4. to maintain the integrity of the platform by not manipulating listings, lead data or reverse engineering any of the assets and services that are available to you;
  5. that Aussie reserves the right to monitor usage, access logs and data flows within the Agent Hub and Agent Services to ensure compliance with these Terms. In cases of suspected misuse, Aussie may suspend access while investigating and may report serious breaches to relevant regulatory or licensing bodies.

6. Term

These Terms of Use will continue to apply on an ongoing basis unless terminated by either party by written notice to the other party. Termination of these Terms of Use will result in your access to the Agent Hub and Agent Services being immediately revoked.

7. Assignment

The Participant may not assign any right or obligation under these Terms of Use without the prior written consent of Aussie, which may be withheld in Aussie's absolute discretion, provided that Aussie will consent to the assignment if:

  1. the Participant proves to the reasonable satisfaction of Aussie that the assignment is to an entity which is acquiring the entirety of the real estate business operated by the Participant;
  2. the Participant has paid Aussie any amounts owing from the Participant to Aussie under this or a related agreement with Aussie.

8. Default

8.1 Default Event

A Default Event will occur if:

  1. the Participant fails to remedy a breach of these Terms of Use within 14 days after receiving written notice to do so from Aussie;
  2. the Participant commits a breach of these Terms of Use which is not capable of remedy;
  3. the Participant is the subject of an Insolvency Event.

8.2 Immediate termination

Aussie may terminate these Terms of Use and the Participant's access to Agent Hub and the Agent Services with immediate effect by giving written notice to the Participant if:

  1. the Participant or any of its directors:
    1. are convicted of any breach under any law which could result in cancellation or suspension of licence held by the Participant;
    2. commit an offence under any legislation, including under real estate laws; or
  2. the Participant or any person employed by the Participant who uses the Aussie Property Search, Agent Services or Agent Hub is involved in any misleading and deceptive or fraudulent activity which (in the absolute discretion of Aussie) would result in the Participant being unsuitable to continue to use the Aussie Property Search, Agent Services or Agent Hub or brings the Aussie Property Search, Agent Services offering or Aussie (including any of its brands and businesses) into disrepute.

8.3 Default rights

If a Default Event occurs, Aussie may:

  1. terminate these Terms of Use by written notice to the Participant;
  2. recover from the Participant as a liquidated debt payable on demand:
    1. any costs incurred by Aussie as a result of the Default Event; and
    2. all amounts owing by the Participant to Aussie under these Terms of Use;
  3. immediately remove the Participant's and/or any Participant Employee's (if applicable) access to Aussie Property Search, Agent Hub, Agent Services and any others offerings or services provided in connection with Agent Services;
  4. reallocate any Participant Employee (if applicable) to any other Participant at Aussie's sole discretion.

8.4 Non merger

This clause does not merge on completion and will continue to apply after expiration or termination of these Terms of Use.

9. Notices

9.1 Giving Notice

Subject to clause 9.3, any notice (which includes, without limitation, a demand, request, consent, approval and any other communication made, required or authorised under this Agreement) given under this Agreement must be directed to the recipient's email address specified by the recipient from time to time, as varied by any notice.

9.2 Receipt of Notice

A notice given in accordance with clause 9.1 is taken to be received by the recipient when the email (including any attachment) is sent to the receiving party at that email address, unless the sending party receives a notification of delivery failure within 24 hours of the email being sent.

In all cases, a notice received after 5.00 pm in the place of receipt or on a day that is not a business day is taken to be received by the recipient at 9.00 am on the next business day.

9.3 Other modes of service permitted

The provisions of this clause are in addition to any other mode of service permitted by law.

10. General

10.1 Amendment

  1. These Terms of Use may be updated at any time without notice.
  2. If the variation is to the Fees for products and services on Account Terms, then this Agreement can only be varied in accordance with Aussie giving 30 days‘ notice in writing to the Participant.
  3. If the Participant does not accept any variation to these Terms of Use as notified by Aussie, then Aussie may terminate this with immediate effect.

10.2 Waiver

The failure, delay, relaxation or indulgence on the part of any party in exercising any power or right conferred by these Terms of Use does not operate as a waiver of that power or right, nor does any single exercise of any power or right preclude any other or further exercise of or the exercise of any other power or right under these Terms of Use.

10.3 Severance

If any provision of these Terms of Use is invalid and not enforceable in accordance with its terms, all other provisions which are self-sustaining and capable of separate enforcement with regard to the invalid provision are and continue to be valid and enforceable in accordance with their terms.

These Terms of Use are not intended to limit or exclude any rights which cannot be lawfully excluded under the Australian Consumer Law. No part of these Terms is intended to have the effect of being unfair within the meaning of the Competition and Consumer Act 2010 (Cth).

10.4 Governing law and jurisdiction

These Terms of Use are governed by, and are to be construed in accordance with, the law of New South Wales and the parties submit to the non-exclusive jurisdiction of the Courts of New South Wales and any court hearing appeals from those Courts.

10.5 Exercise of rights

  1. Unless expressly required by these Terms of Use, a party is not required to act reasonably in giving or withholding any exercising any other right, power, authority, discretion or remedy, under or in connection with this Agreement.
  2. A party may (without any requirement to act reasonably) impose conditions on the grant by it of any consent or approval, or any waiver of any right, power, authority, discretion or remedy, under or in connection with these Terms of Use. Any conditions must be complied with by the party relying on the consent, approval or waiver.

10.6 Remedies cumulative

Except as provided in these Terms of Use and permitted by law, the rights, powers and remedies provided herein are cumulative with and not exclusive of the rights, powers or remedies provided by law independently of these Terms of Use.
